Terms of service
These terms are the agreement between you and us. They describe what you are buying, what you may do with it, what we do and do not promise, and how either side ends it. By creating an account you accept them.
1. Who you are contracting with
The service is provided by Server Host Inc., a Wyoming corporation, with its registered address at 1309 Coffeen Ave., Sheridan, WY 82801, USA. In these terms "we", "us" and "our" mean that company, and "you" means the person or organisation that holds the account.
The service is sold to organisations. The account is held by the organisation named at sign-up, and the person who created it acts on its behalf. If you are signing up for a company, you confirm that you are entitled to bind it to these terms.
2. What the service does
MaxPage researches keywords, retrieves search results and compares your site against competitors; it organises what it finds into content buckets and plans; it records where your pages rank over time; and it drafts copy from your own brief and in a writing voice you configure. It is a research and drafting tool. It does not publish anything to your website, and it does not act on your behalf anywhere else.
3. Accounts, seats and members
To open an account we ask for your name, an email address, a password and the name of your company or team. You are responsible for keeping your password to yourself and for everything done by anyone signed in to your organisation.
A plan includes a number of seats. A seat governs how many people may sign in to your organisation, and nothing else. It does not multiply what your organisation may spend: credits are pooled across the whole organisation, so ten people share one monthly allowance rather than ten of them. An organisation that wants to stop one person consuming the month can be given a per-member monthly cap, which divides a pool that has already been bought rather than adding to it.
4. Credits
Work that costs us money to perform is priced in credits. Subscribing grants your organisation an allowance of credits each month, and plans that include the API grant a separate allowance for it, so that an integration cannot exhaust the allowance the people in the panel are relying on.
A piece of work holds an estimate of its cost before it starts, and settles against what it actually cost when it finishes. If it cost less than the estimate, the difference is returned to your balance. If it fails, the whole hold is released. Both happen automatically, and both are returned as credits.
Credits are an allowance to use the service. They are not money, not a stored-value instrument, and cannot be exchanged for cash, transferred to another organisation, or redeemed anywhere else. How they behave when you cancel is set out in our refunds and delivery policy.
5. What you may not do
- Use the service to research or crawl a site you have no right to investigate on the terms of that site's own policies.
- Share one account between organisations, or resell access to it, unless we have agreed that in writing.
- Attempt to circumvent the credit accounting, the seat limits or the rate limits, or to access another organisation's data.
- Use the service to produce content that is unlawful, or that you present as human-written where a law or a platform rule requires you to say otherwise.
6. Fetching your pages
Some features read the pages of a site you give us. When we do that we fetch only pages that are already publicly reachable, over HTTP or HTTPS, from a public host; we will refuse to fetch an internal or private address, and we re-check that at every redirect rather than trusting the first answer. Our crawler identifies itself as SeoResearchBot in the user agent it sends.
We do not sign in to anything, and we do not fetch anything behind a login. If you point us at a site you do not control, that is your decision and your responsibility.
7. Content the model writes
Drafts are produced by an AI model working from the brief, the research and the voice settings you supply. Models get things wrong: they invent facts, they misattribute quotes, and they can produce text that resembles somebody else's. Every draft is a first draft. You are responsible for reading it, checking it and deciding whether to publish it, and we do not warrant that it is accurate, original or fit for any particular purpose.
As between you and us, the drafts and the research produced for your organisation are yours. You keep whatever rights you already had in the briefs, samples and other material you give us; you grant us only the permission we need to run the service for you.
8. Third parties
Running the service means sending some of your data to other companies: a payment processor, a search-data provider, an AI model provider, an email provider and a host. Which companies, what each one receives, and what none of them receives, is set out in our privacy policy.
9. Payment
Plans are billed monthly in advance through Stripe, our payment processor. This is a paid product and there is no free trial: a new organisation has no plan and no credits until it subscribes.
Card details are entered on Stripe's own checkout page. We never see, receive or store a card number, an expiry date or a security code.
We do not give refunds. You may cancel at any time and stop the next charge, but a payment already taken is not returned, in whole or in part. Our refunds and delivery policy sets that out in full, along with the one case that is not a refund at all: money we charged you and had no right to.
10. Ending the agreement
You may cancel at any time from the billing page. Cancelling stops future charges and future monthly grants; it does not refund the charge already taken for the month you are in, and it does not take back credits already in your wallet, because you paid for those.
We may suspend or close an account that breaches these terms, that is being used to harm another customer or a third party, or whose payments have failed and not been resolved. Where the circumstances allow it, we will tell you first and give you a chance to put it right.
11. What we do not promise
The service is provided as it is. We do not promise that it will be uninterrupted, that search data will be complete or current, that a ranking will improve, or that any commercial outcome will follow from using it. Search engines change what they show and the companies we buy data from change what they sell; neither is within our control.
To the extent the law allows, we are not liable for lost profits, lost revenue, lost data or any indirect or consequential loss, and our total liability to you for any claim arising out of this agreement is limited to the amount you paid us in the twelve months before the claim arose. Nothing here excludes a liability that cannot lawfully be excluded.
12. Changes to these terms
We may change these terms. If a change materially affects you, we will give you at least 30 days' notice before it takes effect, by email or in the product. Each version carries a number and a date, shown under the heading of this page, so you can tell which one you agreed to. Continuing to use the service after a change takes effect means you accept the new version.
13. Governing law
This agreement is governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. Any dispute arising out of it will be brought in the state and federal courts located in the State of Wyoming, and both of us submit to the jurisdiction of those courts.
